John Ericsson offers exclusive rights for his Caloric Engine for Rail Road cars for the City Of Philadelphia

The DS in full reads: Memorandum of an agreement between John Erickson of the city of New York, and Okie his associates of the city of Philadelphia, where, as certain experiments in about being made for the purpose officially ascertaining, Ericsson's caloric engine can be employed for the purpose of repelling city railroad cars, and whereas Okie and his associates of the city of Philadelphia are desirous of purchasing the exclusive right to employ, said engine as a motor for the propulsion of cars on all the railroads in the city of Philadelphia. Now the agreement witnessed that the said Okie and his associates Bind themselves if it shall be practically demonstrated that the engine is applicable as a motor for the propulsion of city railroad cars and to purchase exclusive rights to employ this for the purpose of the city of Philadelphia and to pay the Syd Erickson there after $42,500 in cash within 30 days after such demonstration is successfully made in consideration of the agreement here, after the expense of the said, John Erickson, and consideration of the premise that said, John Erickson hereby, finds himself that if they said OK, and the associates shell truly keep the covenant here in before expense, and pay him to send some within the time determined he will convey to them the exclusive rights to employ the said caloric engine as a motor for propelling railroad cars in the city of Philadelphia for this year from 14 December A.D. 1858 witness on the hand seal 19 April, A.D. 1859 signed by John Erickson.

John Ericsson (born Johan Ericsson; July 31, 1803 – March 8, 1889) was a Swedish-American inventor. He was active in England and the United States. 

Ericsson collaborated on the design of the railroad steam locomotive Novelty, which competed in the Rainhill Trials on the Liverpool and Manchester Railway, which were won by inventor George Stephenson's (1781-1848), Rocket. In North America, he designed the United States Navy's first screw-propelled steam-frigate USS Princeton, in partnership with Captain (later Commodore) Robert F. Stockton (1795-1866), who unjustly blamed him for a fatal accident. A new partnership with Cornelius H. DeLamater (1821-1889), of the DeLamater Iron Works in New York City resulted in the first armoured ironclad warship equipped with a rotating gun turret, USS Monitor, which dramatically saved the U.S. (Union Navy) naval blockading squadron from destruction by an ironclad Confederate States naval vessel, CSS Virginia, at the famous Battle of Hampton Roads at the southern mouth of Chesapeake Bay (with the James River) in March 1862, during the American Civil War
